Do the shares on an as-converted basis, 3 bil shares add to the existing 2.8 bil = 5.8 bil , when the AS was 3 bil before the vote, could he do that ?

Also, suppose that they do a 200 to 1 RS and reduce the outstanding shares from, say 10 bil to 50 mil, is the Authorized shares still 10 bil and they can go back up to 10 bil ..?
