I didn't know that...always been fuzzy on Form 5 rules.

Would you think that the 6/19 MI Form 4 "Event" and Transaction date would represent the day he was given the shares?
If so, how can we account for the difference between the 4/22 "inititated transfer" date and 6/19? Do transfer agents really take that long to process gifted shares? Any idea what date would represent the starting date for the 3 month waiting period before JB could sell shares given that the reduction in his holdings only dropped below 5% based on these 400,000 and the other 600,000 shares transferred? I guess I'm asking if JB can use the 4/22 date as the starting date of his waiting period if the shares didn't actually change hands on the T/A records until 6/19?
