ITEM 1 - MINUTES OF THE BOARD OF DIRECTORS MEETING OF SEPT. 9, 2013

A special meeting of the Company's Board of Directors was held at 8:00 am on Monday, Sept. 9, 2013 at the Company's principal headquarters in Springdale, Arkansas. The following minutes cover agenda items discussed, and where noted, acted upon by the Board of Directors.

1). APPROVAL OF FORMATION OF INTERNATIONAL DIVISION -
The Board reviewed a proposal set forth by CEO Eric Parkinson regarding the tax benefits and production financing opportunities that are available for EU certified productions and entities. In respect of the financing and sales activities underway for the Company's feature, "Mother Goose," and the benefits of establishing a special purpose entity in the Republic of Ireland, the Board
unanimously approved the engagement of counsel in Ireland for the structuring of an entity to handle the production and sales of "Mother Goose" and possibly other Hannover House productions and existing titles in the film library.

2). APPROVAL OF TEASER ART -
The Board approved the release of solicitation / teaser art for the upcoming home video releases on the attached Exhibit "A", subject to any required third party approvals or billing obligations.
