To gain control they need 50%. Tens of millions of shares won't cut it. The share price would go up a LOT if they tried to get 50.1%.

Much easier to go to Offor and meet his price.

Also, if they tried to get control on the open market, people would know that there's value in the JDZ which no one is talking about...and they would bid up the share price just in that anticipation...

..which is something we should be doing about now...since we know something must be cooking with the FTG about to be released and the LOI about to be concluded...TICK TOCK TICK TOCK.
