On June 7, 2012, the company entered into a settlement agreement with the bank to satisfy this obligation for $15,000. As a result, the company posted a $72,652 credit towards expenses in 2012. The Company is currently in default on a line of credit with an inventory financing company as of December 31, 2012.

On October 1, 2010, a judgment in the amount of $23,304 was awarded against the President of the company pursuant to a complaint and summons filed in Superior Court of New Jersey, Bergen County on February 12, 2010, for non-payment of a
loan with Harvey Westbury Corp., in which he had provided a personal guaranty upon origination of said liability. The company is seeking to negotiate a settlement on his behalf
and will indemnify any personal losses incurred. It is management’s position that this debt should remain a corporate liability and will assume all responsibility until the matter is
complete.
