Absolutely 100% FALSE. After the one year waiting period that stock could be freed up under Rule 144. An S-1 is not necessary for removing restrictions. An S-1 could shorten the time of holding. After one year that stock can be cleared and sold in the open market.

Not even remotely true. They can be deposited domestically. There are OTHER regulations other than 144 to clear stock.
