ahhla - tob and I actually agree on something (I don't think it's ever happened before). you should get professional advice before considering buying any shell. there are "dirty" shells (and ASYI is dirty) and "clean" ones (not as many), and the legal, tax and accounting issues and potential inherited liability issues can be complex -- especially when you get into areas like NOLs. I've had to help clients who bought dirty shells without doing good DD with SEC and legal issues and it's expensive and unpleasant.
