Diarch, I haven't had time to review the revised proxy in detail but I would leave nothing to chance.

Every investor that fails to vote against the proposals is essentially allowing YA vote their shares FOR all 6 of these ridiculous proposals.

diarch: The proxy does not allow shareholders to vote her out. CEO is not up for vote.

Pop - I could be wrong but diarch was referring to her leaving the board. She will be ousted as Management most likely if they file bk...thats after she votes herself another large bonus.

I read your first post below about voting. Voting yes on the R/S is a ridiculous notion, the 2,500 is absurd however, I see what they are trying to do. If we vote Yes on the R/S it frees up nearly all of the o/s shares to lure more funding via convertible debt.

The 1bil is the out of this world ridiculous notion that was added to make the R/S look like a walk in the park. I am voting no on both. I don't care if they file for bk but for you to say that YA will give LM another company to run is laughable and ridiculous. I will bet you it won't happen. Time will tell but I have a feeling it was said to take the wind out of the sails of the investors who are adamant about letting them file for bk. I can't be swayed but appreciate the perspective.
