I have never said that it is illegal to convert below par; I believe Pop and Vero have said that is true under Delaware law.

I think it may be legal if the original conversion price was above par and the reduction in the conversion price below par is solely due conversion formula result dropping below par. That may be ok but I don't know. I do know that if NEOM is doing anything known to be illegal that they should disclose that fact to investors.

I do understand that stock market trades can not occur below $0.0001 so if investors opt to reject the RS but increase authorized shares to 500 billion, they would be protected in that trades could not occur below $0.0001. That would be a good thing for investors.

Under the RS, the price would jump to about $0.85 per share and we all know what happens after that; PPS will drop back to current levels over time.
