what is going on is that the top two people at MIMV have given up on the company and are being replaced as Chairman, Pres. and CEO.

MIMV, the company, has failed in its business plan and the essentially shell of a company is accepting a reverse merger with another tiny company, in which its controlling person will become the controlling person of MIMV - no more Kasian Franks and his alleged technology.
