they must however follow the SEC exemption to registration rules when they issue unregistered stock i.e stock is restricted 6 months for reporting companies and 12 months for non reporters

And yet the person who claims to be the PP in question says...

Actually I do and it's restricted for 4 1/2 months.

So it really doesnt matter what the rules say when they are not followed in the slightest.
