According to my conversation with Doug Nelkin, the following language has caused confusion, making people think that if they did nothing and did not cast a vote, it would be counted as a "FOR" vote, but that is not the case. As I understood him, it was exactly the opposite and if you failed to vote then it was counted as an "Against" vote.
If no direction is made, this Voting Instruction Form will be voted "For" each of the nominated directors and "For" the remaining proposals.
