I think the answers to those 3 questions should be rather obvious.

1) Would you be willing to accept liability, for the unpaid $400,000.00 SEC fine? Inherit all of it's dirty laundry, and skeletons in the closet? When there are plenty of clean shells available, for less than half of that?
