your theory only holds strong if Freedman dumps his shares of MWIP but he has not dumped any of his shares
- I have been in stocks that spun off companies and both companies have gone up I like when stocks spin off so I am more diversified I am long and holding MWIP for way more higher gains - this is my opinion

the talk around this stock reminds of SIRI. I started buying it in the pennies. You talked about a bashed around stock, but it was something i listened to and enjoyed so i held. glad i didn't listen to naysayers who knew everything and had the facts. I'm pretty well off because of it. Same thing PCLN, except i listened and sold. To much competition coming in and not good management. Sure wish I would have held. Sold at 8 dllrs. a share. damn. Point is, if this ia a field you believe in and know about then go for it. If not, get F*** out and don't worry about others making their own mistakes.

sounds to you like teasing?? That sounds like a rather compelling reason to want to participate in the divvy and also to hold those newly issued shares once we receive them.

Note...they have lost their revenues & switching to 800 commerce with spinoff. I would call it "they have adapted to the ever-shifting and rocky MMJ environment with news releases such as the one below:

"MediSwipe Inc. (www.MediSwipe.com) (OTCQB: MWIP), a merchant payment solutions and financialsecurity products company for the medical health care industry, today announced that the company has unveiled plans to offer the first digital patient records solution specifically targeting the medical marijuana dispensary marketplace. The proprietary software suite will be offered exclusively by MediSwipe through its partnership with a leading provider of electronic health records software and services within the healthcare industry."


Also Vic, you left out the rest of that section in the Q report. Wonder why? Well, here it is with the part you posted included so everyone can see the full situation:


"Presently, the Company provides merchant services to approximately forty medical dispensaries and wellness centers throughout California and Colorado through our sponsor bank Electronic Merchant Systems (“EMS”). EMS has advised all medical dispensaries that they will no longer accept their Visa and MasterCard transactions. This change is effective on July 1, 2012 and will have a materially adverse effect on our business. EMS did tell their clients that they can still take Discover cards, but asked that medical dispensary merchants batch and settle any Visa and Mastercard transactions by June 30, 2012. Mediswipe has moved over the last several months to expand and offer its merchant processing and payments services to the overall health and wellness sector, as well as to seek strategic partnerships within the mobile healthcare industry to lessen the impact of the dispensary processing business division.

The Company has a number of additional merchants through our banking partner EMS in which we receive residuals from each merchant account each month. In order to provide payment-processing services for Visa, MasterCard and Discover transactions, the Company must be sponsored by a financial institution that is a principal member of the respective Visa, MasterCard and Discover card associations. The Company has agreements with several processors to provide to us, on a non-exclusive basis, transaction processing and transmittal, transaction authorization and data capture, and access to various reporting tools. The Company also maintains a bank sponsorship agreement for our prepaid card programs. Monthly revenues are derived through new existing merchant account residual payments paid to us via wire transfer or ACH each month by our three banking partners. The Company will seek to further capitalize on the health and wellness marketplace and is in the unique position to access this distribution channel, by managing and leveraging its’ merchant relationships as a vertical pipeline and distribution channel for its growing patient database and clients."



Clearly they have already shown an adaptation to the changing business environment created by the feds' earlier attempt to encourage businesses out of expanding into this sector with the above mentioned section from their recent PR regarding the propriety software, and it jibes perfectly with what is also included in the section above taken from the Q regarding "as well as to seek strategic partnerships within the mobile healthcare industry to lessen the impact of the dispensary processing business division."

One final aspect to note is that since MWIP already has strong business channels into the banking aspect of the dispensary biz, I wonder what might happen once the feds back off in Colorado and Washington State and allow the banking community to do business with the cannabis community?? Hmmmmm

Just some thoughts to consider. Sell at your own peril.
