ITEM 3: LEGAL PROCEEDINGS

During the period covered by this Report, the Company filed a Complaint with the Supreme Court of the State of New York. The action was removed to the United States District Court for the Southern District of New York on May 17, 2011. The defendants include Tydus Richards; Lotus Fund, Inc.; Dave Hibbard, as trustee of the Irrevocable Trust For the Benefit of Sloane Ricky Richards dated January 14, 2008; Christopher Wilson, individually and as trustee of the Irrevocable Trust For the Benefit of Chloe Belle Richards dated January 14, 2008; Scott Richards, as trustee of the Irrevocable Trust For the Benefit of Major Tydus Richards, dated January 14, 2008; Blackwater Industries LLC; Shelly Sean Singhal; and Pacific Stock Transfer Company.

Tydus Richards has demanded the replacement of certain certificates of shares which he contends are his and which were lost or misplaced. The Company contends that Mr. Richards is not entitled to the certificates since he did not perform under a purported consulting agreement with the Company. The Company is seeking an injunction against Mr. Richards with respect to his request to obtain replacement certificates.

Sorry but Ive been down this road before...against my better judgement after 5 years I tested these waters again and sure enough...they're as toxic as ever.
You're all right about Mike...if I was a cow I'd want his hands on my teats milking away. As any farmer knows ya never want to milk that cow dry...just take a little cream off every day, that keeps um coming back for more.
Reissue, pump, reissue, pump, reissue pump...then...when all the cream is gone and the cow is moaning for mercy...BOOM...just like a bolt gun to the back of the head, a reverse split instantly eliminates all those pesky dreamers and the Russian along with the rest of those on the inside laugh all the way to the bank not caring if on e dimes worth of gold ever comed out of the ground.
Ive lost my first round...part of the game...it'll sit in my portfolio now as a reminder of the folly these miners are and it will keep it in my perefral vision until the day when they break out the bolt gun...not umtil them will these shucksters be ready to start actually minimg...if ever.
Some of these guys make so much money churning paper they never get any further.
Good luck to the dreamers though...hope springs eternal.
