Sometimes the simplest explanation is the right one!! The 4.25BN increase is the 80-85% allocation of shares for the merging private company i reckon! A simple pre-closing increase in A/S to close the RM deal.

Still doesn't explain WHY. Help me do some DD here.

1) How many shares were last known to be outstanding? (answered below)
2) At the time of the supposed KoolTel acquisition talks; how many shares would have been needed to get KoolTel 80% for complete control?
3) Who are the insiders that are holding shares and how many do they have?
4) Who has how many of each type of shares A, B, C and commons?

Imagine for a moment that the entire 553,700,367 OS from the last known number provided per SEC filing of Q1 2012 was unavailable to ASYI for use in a "merger". That would mean that the company could have added 2.8 BILLION to get 80%.

2.8 Billion minus 80% = 560 Million(covers the entire OS as of 05/21/2012)

SO, WHY 4.25 BILLION SHARES?
