Yeah the more I read, the more I think that could be what its for. Possibly for some of the legal items that are discussed in the financial report or to indemnify for the things you mentioned.

Here is a good article if you into reading a little bit about why this is important for the directors to have such agreement in place in case of litigation. It is common practice among the fortune 500 companies.
