Nothing has been put out publicly that it is dead, unless you count the LOI expiration date and Beatty's history.

Yes and this could very well be the case ! But NO ONE knows for sure about anything here and correct me if im wrong in saying that just because a LOI deadline is expired for BACKING OUT, that doesnt proove that Merger is history or not happening.
