That's an easy one.
Mgmt, which owns little stock, has done a poor job of executing. In their defense NFC has taken longer than expected to get adopted.
There are 2 entities that filed 13Ds which says a lot. The street doesn't believe the current mgmt team can execute.

If you believe that NFC is one of the biggest things to happen to mobile technology, then nibble here and"hold your nose".
With $27m cash and $50m in sales anyone selling here could look very foolish in a few months.

Mgmt finally recognized they had a patent portfolio and started to take an offensive stance. Going after TMobile, and a win, could lead to a very long list of potential infringers/licensees.

Realize that OTIV is an IP/takeover play. The value in the company is their patent portfolio NOT the hardware biz.
