Actually they do not. I am very very sorry but your theory is wrong. They did not deny the S1 but after three months it still was not declared effective. They did not deny the S1 because the company withdrew it when they learned they could not do the Socius deal as structured.

Maybe you should call IR. Here are a few questions:
1. If it was Elite's decision, why? This for a deal that when annonced by Lite in January was the best think since sliced bread: http://www.sec.gov/Archives/edgar/data/1053369/000114420412000759/v244665_ex99-1.htm
2. Was the commitment fee ever paid and if not why not?
3. The reg statement was filed over three months ago, why no notice of effectiveness?
