Finally, I was waiting for someone to point this out! It's the biggest piece of information from the PR that wasn't even in the PR.

ATRN's strategic advisors know the law, each BOD has their own private team of lawyers who would NEVER let them put out a PR without a Safe Harbor statement unless it fell under this exception.

KEYWORDS: TENDER OFFER

It all makes perfect sense, or else the company would have just announced they were closing down and not trying to maximize shareholder value for remaining assets.

But they did not announce "an initial public offering, a tender offer, or a partnership offering" through the PR. So how is a "roll up" or "going private" beneficial to shareholders.

Why not bold that? Even if included it would not protect them!
All these Penny Stocks include the SAFE HARBOR in their press releases and they are a joke to lawyers who know better!

V. EXCEPTIONS TO THE SAFE HARBOR

The safe harbor does not apply to forward-looking statements made in connection with an initial public offering, a tender offer, or a partnership offering. Section 27A(b)(2)(C)-(E). The safe harbor does not apply to beneficial ownership filings under section 13(d) of the 1934 Act or to investment company registration statements. Section 27A(b)(2)(B),(F). Nor does it apply to forward-looking statements "included in a financial statement prepared in accordance with generally accepted accounting principles." section 27A(b)(2)(A).
