Chairman’s Letter To the Mindpix Corp.’s Shareholders April 27, 2012 Dear Shareholders and Investors, This past year we have seen tremendous growth and changes to our companies, some of which will be addressed in this letter. We have engaged the services of local legal and auditing firms who have experience working with private and publicly trading companies. The firms will be overseeing the independent auditing committee for Mindpix Corp. The auditing committee has already begun to work in association with our company’s securities legal counsel and auditors to help expedite the completion of audits and SEC filings. January 2012: Our Board of Directors decided to get back to our core business operations. Currently the company and its subsidiary, eMax Media Group, are expanding their holding interests in the area of income producing music, new media, entertainment, broadcasting and new technologies operations. 1) eMax Media Group and Mindpix Corp opened new offices at Universal Studios, in Orlando Florida. 2) Mindpix subsidiary, eMax Media Inc., recently announced the appointment of Denny Diante as its President. He will oversee the corporate activities of eMax Media and its music divisions. Denny Diante brings several music tribute projects to eMax Media that are scheduled beginning the last quarter of 2012. The first project, in final stages of production, is titled “Pass It On” a Tribute to Buddy Holly, Ritchie Valens and the Big Bopper. Denny Diante is a producer, arranger, engineer, and musical contractor. He has worked with Paul Anka, Elton John, B.B. King, Bill Withers, Barbra Streisand, Johnny Mathis, Neil Diamond, Henry Mancini, and many others. Around 1972, Mr. Diante became the Vice President of A&R and a staff Producer with United Artists Records. Overall, he has produced 26 Gold Albums and 8 Multi- Platinum Albums. He has received 3 Grammys, a Cable Ace Award, an Academy Award nomination, a Golden Globe Award, ASCAP, BMI and Ampex Awards. He also has numerous awards for production and arranging in such festivals as the Japan Music Awards, the Festival of Music of France. He received the prestigious award from the Russian Federation as an Honorary Academician of the Russian Academy of Music. Denny Diante is listed in Billboards Magazine’s Encyclopedia of 100 Most Successful Record Producers. 3) eMax Media Inc. announced last week that it is opening a new office in Atlanta Georgia for its Music division. The 2700 square foot mixed use space is for the music engineering, administration and distribution for eMax Media's Music division. eMax Media’s office in Atlanta will be managed by Catherine Tanner. 4) Catherine Tanner has been appointed as the CTO and Treasurer for eMax Media Inc.. Catherine “Cathie” Tanner has over 25 years of experience in office operations, including human resources, payroll, accounts payable, accounts receivable, general ledger, employee benefits administration, customer service, preparing multi-departmental budgets, and computer network management. Cathie worked with her late husband, Don Tanner. Mr. Tanner owned Stone Mountain Music and worked with legendary recording artists such as Atlantic Rhythm Section, Doobie Brothers, B.J. Thomas, Billy Joe Royal, Joe South, Dennis Yost & Classics IV, The Second Coming (they were later the Allman Brothers), Bertie Higgins, Fonda Feingold, just to name a few. 5) Last month, the management of eMax Media Group met with the management of their parent company Mindpix Corp. to discuss current music and film production budgets and scheduling. eMax Media is in the pre-production phase of several music and film production projects to tribute numerous recording legends. In addition, Denny Diante is planning many new series music releases to be engineered and packaged for retail distribution. 6) Denny Diante, CEO, stated, “The eMax Media Music Library is without question one of the largest music companies. Over the past year, I had the great fortune to be a consultant for an investment group looking to purchase EMI Records. It would be safe to say that eMax Music library’s song titles and master recordings are comparable to recordings owned by the music label giant EMI”. Quote from Bloomberg Magazine, "Citigroup Inc. (C) agreed in November to sell London-based EMI’s publishing unit to Sony Corp. (6758) and its recorded music business to Vivendi SA (VIV)’s Universal, the world’s biggest record company, for a total of $4.1 billion. The proposed breakup of London-based EMI, which owns Abbey Road Studios, sells Beatle’s albums and publishes songs by the late Amy Winehouse, ended a nine-month bidding war.” 7) The company recently filed its updated year end 2011 financials with OTCmarkets.com At this time I would also like to announce that effective May 1, 2012, I will officially resign as the CEO of Mindpix Corp.. My intent is to concentrate on building the business by presenting further acquisitions and operating contracts to Mindpix Corp. I believe that focusing my thirty years of experience in the music and media industries, business development, contract negotiations and corporate acquisitions and mergers, would better serve the company. During this past month, The Board of Directors of Mindpix Corp. has been interviewing for new additional corporate management to oversee the administration and financial affairs of the company. I truly believe Mindpix is on track to complete the next wave of corporate growth for the company and its holdings. Mindpix and its subsidiary companies are involved with very exciting and profitable projects. I am very excited about the future of the company and for it’s shareholders.
