YA can convert at the lowest price in the last 60 to 120 days, depending on the instrument. Many people believe YA can convert at the current price or an average over the last 60 to 120 days. The truth is in the actual debenture agreements filed as exhibit 10.2 to each form 8-K for the borrowings that occur on a monthly basis. See section 4(a)(ii) of the debenture for the definition of the conversion price. It is the lowest price and that is a fact that was confirmed in the 13G filed last week where Murray got a conversion price of $.007.

The conversion prices were all less than $.01 at year-end per the 10-K filed by NEOM and the prices dropped another $.003 during the first quarter as confirmed in the 13G.
