If more than two thirds of those 3B shares were acquired by some third party, they would have more control than the Porters with their measley 2M pfd shares with 1000 to 1 voting rights.


Wrong that is not the reason, those shares are only assessable to Bayport and its not as easy as you claim to retire and unretire shares. Bayport had no risk of takeover because even before they retired those were only accessible to Bayport not anybody else. I suggest reading what the difference between authorized and outstanding share.
