Majo, typically, a deal is only "backed out of", when one party or the other finds information during the due diligence period that is contrary to the original deal. In this case, it would actually be a good thing, that's why you do the dd. Assuming everything checks out, there should be no reason the deal doesn't move forward, all imo!
