Austin - I'm not sure what NV would consider fair at this point. Myself, I'd consider 2-3 dollars fair. They don't have tons of debt, so that's a good thing and a selling point to an acquirer.
The poison pill was either incredibly premature or a strategic move to make shareholders think they had something other people wanted. Think about it, this company can't get funding other than 144's right now as we speak in 2003. You're telling me that in 2001 they really felt they had to fend off hostile takeovers?
