Not really how I see it.
I'm thinking OPMG has an increase in A/S, paying security holders of illume. OPMG merges with illume and utilizes their technology and resources. I also think we will remain as Phoneguard (final product keeps that name) and start a huge, worldwide advertizing campaign with Bieber and others.
Then a possible r/s down the road so they could up list. JMO

I believe this merger serves multiple purposes. With multiple cash infusions Illume investors need an exit strategy on their investments. This can be done by selling a sh** load of product and/ or taking the company public.
