#54312 RE: longhorn 53 #54290

I appreciate you asking. I communicated with Kyle and Cristian about about the legality of the meeting without board approval, the electronic ballets saying "board of directors" all over them, the issue about the list of shareholders of record being available at the place of the vote for 10 days prior to the vote, the fact that some people weren't noticed at all and then the vote count. In all instances I was assured that the company had been advised by legal counsel.

In the weeks following the vote, when the PRs and change requests came down from management for the website and it started to become clear that there was two conflicting legal positions right down the center of the board, I asked to speak with Calypso's legal counsel and was not permitted to do so. I was also not furnished with any kind of official legal position from management - which is what ultimately led to me withdrawing my services.

Surely management must have known that they would be challenged in court by Dave Williams and Ed Walsh if there was any chance that any of these actions were illegal. I'm not sure that I fully understand the motivation myself since from my perspective, working together was clearly the best option. I even offered to broker the communication between factions or serve as a 5th board member without compensation since I had an effective working relationship with everyone. It seems like pursuing this thing in court was the only remedy.

I still believe the patent has incredible value and am willing to assist in any way possible once the current legal issues are resolved. I suspect other shareholders and investors are also waiting to see how this all pans out too.

Just a few days left.
