Besides the multiple posters here who cited the fact that the Ballots were a fraud on their face it was in the filings that Williams notified management that the Ballots included statements that were false.

Also in the PR announcing dismissal of management.

The Audit Committee of the Company’s Board of Directors has found that the Officers have caused a false and misleading proxy solicitation to be circulated to the shareholders. Among other things, the solicitation states the action is based on the recommendation of the Board of Directors. The Board of Directors specifically has not made such a recommendation and does not make such recommendation.

I don't believe that management can reasonably claim that they did not know the ballots were fraudulent BEFORE the meeting was held.

The inevitable result would be litigation. Unless management wants you to believe that Williams would threaten to sue everyone in the world EXCEPT management - calling them out on the fraud they perpetrated on the shareholders.

You mean, other than Williams and Walsh ?

California court filings show the company's own attorneys strongly advised against it... and refused to participate in it themselves, even though they'd already been billed as attending, and were lined up to be the "featured act" in the center ring.

I personally communicated my concerns about the legality of the special meeting to Kyle and Cristian via email, text and phone weeks before the vote and with plenty of time to consider the ramifications and provide an appropriate legal position to shareholders.
