The majority of shares then entitled to vote is simply one share over the outstanding shares (Quorum)

You interpretation is the majority of shares then entitled to vote FOR or AGAINST

In general I hope Judge will validate Dec. vote (not for DW and infights) but for rule about shareholders "value".

If not it means that shareholders have no way to decide about this company: any vote will be deleted due total number of shares instead of quorum.

A lot of shareholders of a public company are not interested in votes for various reasons, few shares, not well informed about decisions, etc. etc. so a majority of TOTAL SHARES is pretty impossibly to be reached and so vote not valid.

Not a good company to invest in if shareholders has no way to decide about it, BOD are "untouchables".
