There is nothing new in the 8K, I'm still trying to figure out why it's an SEC filing.

Looks more like a Hail-Mary pump piece, as Hoffman desperately tries to get this thing over a buck, before the NASDAQ compliance officer steps in for March 1 and sends SAPX to the OTC.
