Dear Brad Godfrey,
You have abandoned your position without any form of contact for over 3 weeks now and without reason. You have elected to disregard communication and correspondence, and it is presumed that you have further deserted your duties as a Representative of HFBG. Therefore, your relationship and appointment as Chief Business Development Officer with Hall of Fame Beverages, Inc., is to be retracted, and the relationship is terminated as of July 29, 2011.
I sent you an email on July 23rd, 2011, asking you for obligatory information and documentation pertaining to you and Hall of Fame Beverages Inc. that was missing from the books to take with me to a meeting with Larry Johnson and our attorney on Monday, July 25th, 2011, in Las Vegas. You have failed to reply, acknowledge and send me the mandatory documentation that was requested by me, your superior.
I do not know of any agreements you may have made with HFBG or anyone, as it was before me, and you have neglected to provide me with the information as I had asked. However, I do know that you were offered a chance to be a part of JAG Food & Beverage Holdings LLC, as well as being added to the bank accounts for HFBG. You chose not to be a part of either. It can only be assumed that you were not intending to be a team player, and your rebellious behavior displays proof of that choice. You had been asked to work with me; instead, you wanted to work alone.
In addition to the decision to part ways, your toxic arrogance has completely upset the flow of daily business. On several occasions, I had tried to speak to you about your compulsive behavior, and your poor judgment as a Representative of HFBG. Your public posts on public stock message boards, your behind the scenes emails and conversations created a very destructive, and disapproving atmosphere. You had been asked several times to stop posting confrontational messages, and misleading information for self gain and self satisfaction - not just by me, but by shareholders and investors of HFBG. You would not comply. You were made aware of your egotistical assertiveness on several occasions, and were asked to stop and tone down your boldness, but, you chose to disregard the requests.
You had decided that you would do a "Stock Awareness" without communicating with me. I found out that you were planning on doing it, through the conversations on Investors Hub (IHub), from shareholders and from Dennis Donchez, our Sales Manager. When I asked you about it, you stated that you had already paid for it and it would still happen. I told you that I didn't approve of it, but you completed it anyway. You never once received any authorization to go pay for such actions as a Representative of this public company, even when told that everything you do needed to go through me first, per Larry Johnson. You again disregarded a direct order from your superiors and chose to do your own thing.
You also lied to one of our new distributors (Abarta) to gain the phone number from their corporate offices in order to obtain access to Thirstmonger, who is a direct affiliate of Abarta, who also happens to be large independent distributer of Coke-Cola in 10 – 11 states. You did this to call and complain to them about posts on their website that we cannot control. You called and left messages for the Partner Relationship Manager, Denise Martin. When she did not respond to you quick enough, you then took it upon yourself to engage in a confrontational conversation with the Site Manager, David Banas. When David Banas told you that he doesn't know who you are, that he deals with Dennis Donchez, our Sales Manager, you decided to take it further and spout that you pay Dennis's paycheck and you own HFBG. When it was discovered that you did this and were confronted, you were nonchalant and stated that you felt it was not a big deal, that it was only a website advertisement that doesn't have a lot of value. You purposely and intentionally sabotaged a new relationship that HFBG spent thousands of dollars on to make the trip to personally meet their group, and ruined the relationship we created along with taking away all future business because of your irrational, absurd, and irresponsible actions as a Representative of HFBG . You single handedly embarrassed Larry, Dennis and HOF with your need to be in control ways, and by your complete disregard and cavalier attitude towards the hard work put in to obtain the account and the future business in hand.
You agreed to make certain payments to the attorneys, CPA (Aaron Joshua), and bookkeeper (Paulina). However, your credit card was declined to one of the attorney's of which you made the agreement. You never bothered to pay Tom, the CPA, or the Bookkeeper - even though I asked you on several occasions when you plan to make those payments. You ignored my requests. Your credit card was declined for payment to Jeff for the last 2 times. You also sent out a press release through Marketwire in June, 2011, of which your credit card once again was declined. HFBG was responsible to pay that amount before being able to conduct further business with Marketwire. We have never had any issues with Marketwire, but once again, our credibility was tarnished by your actions and inactions.
You have mislead our shareholders and investors into believing that you own half of the company, that you ran off Calvin Ross and Giovanni Luciano, and that you played a role in bringing JAG into the company. None of that is correct. You have created animosity and enemies within HFBG and its shareholders, and our previous IR Firm - including the continuous slander on your last display of defiance boasting on Investors Hub on July 1, 2011 - as that was your last post on that chat board. You also disregarded my authority when I specifically asked you not to post anything in regards to our bottling company, Tampa Bay CoPack - of which you wrongfully blamed them for being the cause of the delay in processing our 2nd run of product.
There are too many instances that verify and demonstrate complete insubordination, disobedience and utter disrespect for me, Larry Johnson, and HOF. It is in the very best interest of HOF, and its shareholders and investors that we go our separate ways.
