Where do you see that? It's not in the filing. In fact the exact opposite is true. As I see it, if the company sold 1 share below a dollar during the recent crash, the PIPE investors make yet another killing. If I were cynical, I'd say that this was set up this way expressely to take advantage of SEC Wells Notice and subsequent Litigation
