That should be taking into account the conversion feature of the preferred stock. That is how the vote percentage is calculated.

Tell you what. Since you are clearly a shareholder, and are reading off your proxy material, why don't you scan it and post the original copies here? That way it will be very clear what the situation is (or isn't).
