It is the official SEC filing making the deal PRed about a few days ago by the books.
It also means not a single share of the newly issued stock was traded today so the decline was pure speculation.

A large group of investors just dropped $8m at 1.05 part share with an option to but more at 1.50. People like this get profit.
It is big money not the nickle and dime shorts.
