I think all responsibility falls on the broker. Discount brokers act as the middleman between the company selling the stock and the customer buying the stock (shareholder). They obtain the stock certificate on the shareholders behalf. They are paid for this service... I believe a class action suit aimed at incompetent,irresponsible brokers will get the shareholders money back with a bonus...
