While the Company announced its acquisition of Rebel Networks in June 2011, the finalization
and consolidation of the transaction has not occurred as of the date of this filing. The Company
and Rebel Networks have continued their due diligence to complete the transaction, and the
framework of the transaction remains in place; however, the Company has not made payment to
Rebel Networks as of the date of this filing, but intends to do so prior to the end of the calendar
year 2011.
