Once and for all - Shares that are sold that are issued by a fully reporting company through warrants are restricted as in not tradeble unless there is a registration statement on file with the SEC. There is no registration statement on file. When shares are bought through warrants there HAS to be a registration statement there if they are free-tradeable.

It would have a legend stated on the warrants the following "The underlining shares of these warrants are unrestricted and tradeable by registration." There is NO registration of these warrants therefore they are NOT tradeable.

Here is a filed statement indicating that shares associated with the warrant is restricted. It is from the company's recent 10-K.

During the fiscal year ended June 30, 2011, the Company sold 3,712,500 shares for cash at an average price of $.10 a share. The Company also issued 5,300,000 shares for services with a total value of $954,000; 500,000 shares for warrants with a total value of $24,000; and 100,000 shares for demonstration equipment with a total value of $58,585. These shares are restricted pursuant to SEC Rule 144.
