From what DD has shown to me, Doug Terry and Mr.Brooks could not simply meet eye to eye on their original arrangement.

From what I found out was that Ron is expecting a much larger pay out than what Doug had to offer - evidently Ron walked away from finalizing the deal and of course this lead to Doug walking away and forming the company privately.
