No they are placed in Escrow until closing. Any good business person would have made sure those shares were not only restricted, but would only be released to seller if the deal closed. But without seeing the purchase agreement, everything is speculation at this point.
PPS at .01 does pretty much confirms the Dimyat deal is dead.
