fly, why would they have to audit mmxt?

I'm not an accountant. The way I understand it is that 2 years worth of certified audited financial information must be included in the S-4 for BOTH companies proposing to merge, whether they've both been reporting companies or if just one has been reporting.

I could be wrong about this; any CPAs here?

Greg - I would assume that they only have to audit MMXT for Jan 1 to present, as they are current to Dec 31 2004. I don't think they would need to re-audit what is already done, but just include the already audited financials of the 18 months prior to Jan 1 with the audit of the 6 months since.

Since they would have needed up to date financials of both companies to complete the DD needed prior to the meeting to approve last week, I would assume that it shouldn't take long to complete the audits of both with the information already at hand. That might even have been done already.
