hidey, I'm with you in spirit but your comment, "...the PR is an attempt to move the PPS" has some holes. What does he gain from higher PPS? The only logic I can find consistent with your point is possible intention to covertly sell his shares... Higher PPS means higher B gain on sale of personal shares. B selling shares is consistent with your argument that no company behind HNSS "shell." So within your thinking he'll profit any way he can. Even if selling shares of a company that isn't a company.

Unfortunately, at this point I can't buy that logic. I've done too much DD on HNSS. Previous published documents filed with SEC http://google.brand.edgar-online.com/EFX_dll/EDGARpro.dll?FetchFilingHTML1?ID=4661392&SessionID=p118HHsaa946us7 would put him in serious trouble with the Feds. Also, the cash gain off MedBioWeb sale http://finance.yahoo.com/news/Healthnostics-Sells-MedBioWeb-iw-2856191190.html?x=0&.v=1 would nail him with IRS for tax fraud. The company HNSS as a legal entity with reportable earnings is real.

And he claims company is self-funded http://finance.yahoo.com/news/Healthnostics-Details-Short-iw-3596253503.html?x=0&.v=1 . Important point within this argument: he's not depending on share price to fund HNSS operations. So why would he want share price to go up consistent with your statement above? I can see motive to drive share price down (viz-a-vis dilution...) driving shareholders to sign term sheet per falling stock price. I can only see a potential motive for moving PPS down here, not up... And I think your intent here was to indicate B's intent to move price up thru bogus buy offer.

I don't pretend to have the answers to present shareholder dilemma -- B selling company for $.01. As stated previously I'll sign the term sheet if it ever appears for one reason and one reason only:-- I believe the company is worth far more than $.01 PPS based on published PRs and my own DD. Based on that assumption, Mr B attempting to sell for $.01 effectively demonstrates he is not looking out for shareholders. He is looking out for himself. In Pink Sheets, that is a train wreck waiting to happen... IMO
