The only logic I can find consistent with your point is possible intention to covertly sell his shares... Higher PPS means higher B gain on sale of personal shares. B selling shares is consistent with your argument that no company behind HNSS "shell." So within your thinking he'll profit any way he can. Even if selling shares of a company that isn't a company.

Important point within this argument: he's not depending on share price to fund HNSS operations. So why would he want share price to go up consistent with your statement above? I can see motive to drive share price down (viz-a-vis dilution...) driving shareholders to sign term sheet per falling stock price. I can only see a potential motive for moving PPS down here, not up... And I think your intent here was to indicate B's intent to move price up thru bogus buy offer.
I don't pretend to have the answers to present shareholder dilemma -- B selling company for $.01. As stated previously I'll sign the term sheet if it ever appears for one reason and one reason only:-- I believe the company is worth far more than $.01 PPS based on published PRs and my own DD. Based on that assumption, Mr B attempting to sell for $.01 effectively demonstrates he is not looking out for shareholders. He is looking out for himself. In Pink Sheets, that is a train wreck waiting to happen... IMO
