This Information Statement is furnished to provide notice to stockholders of Tactical Air Defense Services, Inc., a Nevada corporation (the “Company”), in connection with approval by our Board of Directors (the “Board”) and a majority of our stockholders to take the following actions:
1. Authorize the Board to amend the Company’s Articles of Incorporation filed with the Nevada Secretary of State (the “Articles”) to increase the Company’s authorized common stock, par value $0.001 (the “Common Stock”) from 3,000,000,000 shares to 6,000,000,000 shares (the “Corporate Action”);
Stockholders of record at the close of business on June 22, 2011 are entitled to notice of this stockholder action by written consent. Since the actions have been approved by the holders of the required majority of the outstanding shares of our voting stock, no proxies were or are being solicited.
after much digging it has come to my attention that on june 2nd TADF signed a LOI with TAC AIR. every1 i didnt know this at time of posting yesterday, so sorry. as for every1, it DOES look like a merger is well under way that an LOI is in the picture. the increase in A/S all makes sense now. my bad to all ppl on board
