The scariest part to me is that not only does DKAM seem to need to raise cash to pay for part of this deal, they are paying WW for the right to sell, import or distribute Worldwide's products with 49% of the company.
And how about this line " Upon the consummation of the transaction, Worldwide will have acquired an interest not to exceed 49% of the Company. " Not "upon payment of the $1.5 million" or upon any future event, but "Upon the consummation of the transaction". Wow.
So you give me half the company up front, sell my products and I'll pay you a commission on whatever you can sell, even though when you sold your own products, you lost a ton of money. That's a good deal for DKAM?
IMHO, falling apart is the best outcome for this one.
