Bankshot, that's the CD they he told me he was going to buy out. He specified the June 24th date. He said he wants to keep a cap on the O/S.He reluctantly went the CD route because the company was short on cash. However, in the future he plans to steer clear of that method of raising capital as it can be too dilutive. He doesn't want to dilute himself and the shareholders needlessly. The company is in better shape now then they were a few months ago, so it's a whole new ballgame.

The company was on the brink of bankruptcy, so it's easy to play Monday morning quarterback and pick things apart. From my conversation with the CEO today, he's putting his best foot forward to turn this ship around. He's a shareholder as well (he emphasized this!) and his goals and those of his employees (CIO, directors, etc.,) are aligned with ours. His goal is to increase the market cap and that's more difficult to do with a lumbering O/S, hence his decision to buy out that CD coming up on June 24th.

I just came back from dinner and I'm off to watch a video to relax. I e-mailed and put multiple phone calls into the CEO, so quite frankly I'm tired. XYZ I will e-mail you tomorrow as you correctly ascertained what the game plan was. Your predictions may not have been that off base after all, but you did nail the game plan here, so kudos:)

BTW, with respect to the 8K about NetCapital buying out the debt (people were querying why no 8K or perish the thought is the deal even real), it wasn't filed because that was a transaction between NetCapital and the Lender. An 8K was filed today because it was transaction between NetCapital and PVSP.

Hope I clarified a few things that were murky...off to watch my video and partake in a margarita. I will elaborate more later, but probably not until Monday, so please others here, don't deluge me with PM's.

Bankshot remember it is the current 20 days of selling average I do believe, not when he purchased it. That's the way we sold CD's in our co. in 2008. What would that average be now. Does that change your outlook now? Narvo0

15 to25% premium, right? That's PVSP right to do correct.The one you posted us on.
I remember our CEO conversing with CD holders to hold onto it as the share price will much more valuable later.

From the last 10-Q:

Quote:State the number of shares outstanding of each of the issuer’s classes of common equity as of the latest practicable date: 19,977,750 shares of common stock, par value $.10 per share, as of March 31, 2011.

The convertible debentures consist of a $50,000 convertible debenture that we issued in exchange for a $50,000 cash payment, and three debentures, which we issued in the aggregate total of $93,170, in exchange for a reduction in notes and trade payables that totaled $93,170. Conversion features allow the holders to convert into shares of our common stock at a discount to the trading price of our common stock, ranging from 10% to 50%. We can pre-pay any portion of the debentures at any time at a 15% to 25% premium to the principal amount that is retired. From December 1, 2010 to April 15, 2011 we issued a total of 5,358,606 shares of our common stock for debt conversions to pay approximately $92,000 in debt.

if indeed there is a huge short as riss suspects, it most likely is from the financiers w the cd,
even if there is a clause agaanst it, (is there?), standard procedure for those guys...

but great news for sure if pv intends to pay off that cd cash, as talons reports from ceo convo
which would keep OS and float close to current levels...

they want to get back to NAZ and be bought out, so whatever they need to do to keep the OS low it seems like they are actively doing and when we get confirmation of that w hard #s from ta that will eliminate lots of the weak hands who may be mistaking large scale daytrade flippers for new shares hitting. that imo is alot of what we've been seeing and got us stuck in a channel.

so with any new shares absorbed and ss confirmation i think we can turn this north.

if fanning starts to unveil his plans and they are anything near what many here have been speculating we'll be north of .50 in a flash.

What are the usual terms for the Issuer, PVSP to buy the CD back?!

What I'm getting @ is If the CD holder, made a deal to hand over shares to the MM's, to cover a short position, and then the CD is repurchased b4 hand, and CD holder have no shares to hand Over, what would happen there?!
