Why waste their time with this if they were planning on canceling the shares, or thought the shares would be canceled.

Simple...they had to privately take out the previous debenture and warrrant holders to keep them from mucking up the bid acceptance and BK process.
The whole bid process was laid out in detail in the 8k.
