thinking out loudly,...of course auctus can sell the shares from the previous draw down,...and the re buy shares again,...and never exceed 4,99%.

My take on the percentage is the company that is "buying" $10 million worth of stock," can not and does not want to," own 5% or more of the company stock, because then they become an insider, as in more filings, more paperwork, more regulation, etc.

That is common guidelines to protect a company and a private investor.
