Well based on what I see, this is a textbook RM. 525MM shares used to acquire Alpha (a private company). New controlling shareholders are not part of the original VPRO team, top mgmt is Alpha.

Alpha obviously wanted to go public in a hurry without the expense or time delay typically associated with getting listed and Viropro was looking for a partner to grow. If VPRO was the larger entity then it would not be a RM.

What would you call it then?
