I do believe that there are liability issues. However, I seldom see the sec following through on it's responsibility to protect investors. And, when they do, it is usually in a fashion that hurts more than protects. Our gov at work.

They seem to be working to promote these "green energy" companies, as it is mostly the gov backing that makes people believe that they have a chance at success despite a bad balance sheet. It really makes it hard for an investor to know which ones will succeed and which won't.
