You are cordially invited to attend an Annual Meeting of Shareholders of Solar Power, Inc. (the “Company”) to be held at 10:00 a.m. (PDT), on Wednesday, June 22, 2011, at Solar Power, Inc. Corporate Headquarters, 1115 Orlando Avenue, Roseville, California 95661-5247.
At the meeting, you will be asked
(i) to elect five (5) directors of the Company,
(ii) to approve an amendment to our Amended and Restated Articles of Incorporation to increase the authorized number of shares of common stock from 100,000,000 to 250,000,000,
(iii) to approve an amendment to our Amended and Restated Articles of Incorporation to effect a reverse split,
(iv) to approve an amendment to our Amended and Restated Articles of Incorporation to decrease the authorized number of shares of common stock in connection with the reverse split,
(v) to ratify the appointment of KPMG LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2011; and
(vi) to consider any other matters that properly come before the meeting. These matters are disclosed in detail in the attached proxy statement. Your Board of Directors believes these proposals are in the best interest of the Company and its shareholders and recommends that you vote for them.
The accompanying Notice of the Annual Meeting of Shareholders and Proxy Statement contain information about the matters to be considered and acted upon, and you should read the material carefully.
